Terms and Conditions

Effective Date: October 20, 2026

These Terms and Conditions (“Terms”) govern your use of shop.heliosdigital.com, our learning platform at ecases.heliosdigital.com, and the digital courses, coursepacks, eCases, and other materials we provide (collectively, the “Services”).

The Services are operated by Helios Digital Learning, Inc., doing business as Helios Digital (“Helios Digital,” “we,” “us,” or “our”).

By creating an account, making a purchase, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and Account Registration

You must be legally able to enter into a binding agreement or have permission from a parent or legal guardian who agrees to these Terms on your behalf.

You agree to provide accurate account and purchase information and keep it current. You are responsible for protecting your login credentials and for activity you authorize through your account.

Accounts are intended for individual use unless we expressly authorize another arrangement. Do not share your account or allow others to access purchased content using your credentials.

If you suspect unauthorized access, contact support@heliosdigital.com promptly.

2. Purchases and Payment

Prices and applicable charges are displayed before checkout. Unless otherwise stated, prices are in U.S. dollars.

You authorize us and our payment providers to charge your selected payment method for your purchase, including applicable taxes.

You are responsible for confirming that you have selected the correct course, coursepack, instructor, or other digital product before completing your purchase. If you purchase the wrong item, contact us before accessing it.

We may decline or cancel an order because of suspected fraud, payment failure, unavailability, or a material pricing or product-description error. If we cancel an order after payment, we will refund the amount charged for the canceled item.

3. Digital Delivery and Access

Our products are delivered electronically. Access may require an account on our store, learning platform, or both.

Unless the product description states otherwise, purchasing content does not include printed materials, devices, internet service, or third-party software.

Access period: Your access for each product is tied to the academic term for the course in which you are enrolled, typically for a single academic semester or quarter.

Purchase does not include lifetime access unless expressly stated in writing.

You are responsible for having a compatible device, supported browser, and internet connection. Contact us if technical difficulties prevent you from accessing your purchase.

4. Refund Policy

You may request a refund within 30 calendar days after purchase, provided you have not accessed the purchased digital content.

Once you have accessed the digital content, your purchase is no longer eligible for a refund, even if fewer than 30 days have passed since purchase.

Access includes opening or viewing purchased course materials, playing course videos, downloading files, or beginning a course activity. Simply logging into your account without opening the purchased content does not count as accessing it.

Refund requests submitted more than 30 calendar days after purchase are not eligible.

To request a refund, email support@heliosdigital.com with your name, the email address used for the purchase, order number, purchase date, and the name of the purchased content.

We will review the request and verify whether the content has been accessed. Approved refunds will be issued to the original payment method. Your bank or payment provider determines when the refund appears in your account.

If a refund is issued, access to the refunded content will be removed.

This policy does not limit any refund or other rights you have under applicable law.

5. License to Use Course Content

When you purchase or receive authorized access to content, we grant you a limited, nonexclusive, nontransferable license to use it for your own educational purposes during the applicable access period.

You may view the content and download or print materials only where the Services expressly permit it.

Unless we provide written permission or applicable law permits otherwise, you may not:

  • Share, sell, sublicense, or transfer purchased content or account access.
  • Copy, publish, upload, distribute, or publicly display course materials.
  • Record or redistribute course videos or other protected materials.
  • Remove copyright, trademark, or other ownership notices.
  • Use our content to create or distribute a competing course or product.
  • Upload our content to an artificial intelligence service or use it to train or develop an artificial intelligence model.
  • Bypass access restrictions or continue using content after your authorization expires.

Purchasing content grants a license to use it; it does not transfer ownership of the content.

6. Intellectual Property

The Services and their materials—including text, videos, graphics, eCases, assessments, logos, and software—are owned by Helios Digital or its licensors and are protected by applicable intellectual property laws.

Except for the limited rights expressly granted in these Terms, no intellectual property rights are transferred to you.

7. Acceptable Use

You agree not to:

  • Use the Services for unlawful, fraudulent, or abusive purposes.
  • Impersonate another person or misrepresent your affiliation.
  • Access another user’s account without authorization.
  • Upload malicious software or interfere with the Services.
  • Attempt to gain unauthorized access to systems, data, or restricted content.
  • Use automated tools to scrape or extract content without permission.
  • Post material that infringes another person’s rights or is threatening, harassing, or otherwise unlawful.
  • Share assessment answers or use the Services to facilitate academic dishonesty.

You are also responsible for following any applicable academic-integrity or participation rules established by your instructor or sponsoring organization.

8. Content You Submit

You retain ownership of original assignments, responses, comments, and other materials you submit, subject to any rights held by others.

You grant Helios Digital a nonexclusive license to host, store, reproduce, display, and process your submissions only as reasonably necessary to operate the Services, deliver instruction and assessments, provide support, maintain security, and meet applicable legal obligations.

This license does not authorize us to sell your submissions, use them in public advertising, or train general-purpose artificial intelligence models on them.

You are responsible for ensuring that you have the right to submit your materials. Do not include confidential information or personal information about others unless you have appropriate authorization.

Submissions in shared discussion areas may be visible to other authorized participants. Assignments and assessment responses may be available to the relevant instructor or course administrator.

9. Instructor and Institutional Arrangements

Some courses are offered in connection with an instructor, educational institution, employer, or other organization.

Unless expressly stated otherwise, that organization determines its own enrollment requirements, assignments, grading, academic credit, and completion requirements. Purchasing our content does not guarantee a particular grade, academic credit, certification, employment outcome, or acceptance by another organization.

If a separate written agreement between Helios Digital and your organization applies, that agreement controls to the extent it conflicts with these Terms regarding the Services provided under that agreement.

10. Privacy

Our Privacy Policy explains how we collect, use, and disclose personal information in connection with the Services.

Please review the Privacy Policy available on our website. Information about course activity, progress, and assessments may be available to the relevant instructor or sponsoring organization as described in that policy.

11. Availability and Changes to the Services

We may update the Services to improve functionality, maintain security, correct errors, or reflect changes in course materials.

Temporary interruptions may occur because of maintenance, technical problems, or circumstances beyond our reasonable control.

If we permanently discontinue purchased content before the end of your stated access period for reasons unrelated to your violation of these Terms, we will provide a reasonable remedy, which may include replacement access or a refund reflecting the unused portion of the access period.

12. Suspension and Termination

We may restrict, suspend, or terminate access when reasonably necessary to address a material violation of these Terms, suspected fraud, a security threat, or a legal requirement.

Where practical, we will provide notice and an opportunity to resolve the issue. Immediate action may be necessary to protect users, content, or systems.

A suspension or termination does not eliminate any rights you have under applicable law. Refund requests remain subject to our Refund Policy and applicable law.

Terms concerning intellectual property, permitted use, payment obligations, limitations of liability, and dispute resolution continue to apply where relevant after access ends.

13. Educational Content and Disclaimers

Our content is provided for educational and informational purposes. It is not a substitute for legal, financial, medical, or other professional advice.

Although we seek to provide useful and accurate materials, we do not guarantee that all content will be complete, current, or free from error. Examples and case studies may be simplified, adapted, or fictionalized for teaching purposes.

To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or noninfringement.

Nothing in these Terms excludes warranties or consumer protections that cannot lawfully be excluded.

14. Limitation of Liability

To the fullest extent permitted by law, Helios Digital will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Services.

To the fullest extent permitted by law, our total liability for a claim relating to the Services will not exceed the amount you paid for the product or service giving rise to the claim.

These limitations do not apply to fraud, willful misconduct, gross negligence, or any liability that cannot be excluded or limited under applicable law.

15. Third-Party Services and Links

The Services may contain links to third-party websites or rely on third-party tools. Those services may be subject to their own terms and privacy policies.

We are not responsible for independently operated third-party websites, their content, or their practices. Our use of service providers does not eliminate any responsibility we have under applicable law.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Before filing a legal claim, you and Helios Digital agree to attempt to resolve the dispute informally by providing written notice describing the issue and the requested resolution. Notices to Helios Digital should be sent to support@heliosdigital.com.

If the dispute is not resolved within 30 days after notice, either party may pursue available legal remedies. This informal process does not prevent either party from seeking urgent court relief or filing a claim before a legal deadline expires.

Unless applicable law requires another forum, legal proceedings must be brought in the state or federal courts located in Cook County, Illinois.

Nothing in this section limits mandatory consumer rights or your ability to bring an eligible claim in small claims court.

17. Changes to These Terms

We may revise these Terms from time to time. We will post the updated Terms and revise the effective date.

For material changes affecting existing accounts or purchases, we will provide reasonable notice through email, the Services, or another appropriate method. Where required by law, we will obtain your agreement before applying a change.

Changes will not retroactively reduce the access period or refund rights associated with an existing purchase without your agreement.

18. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

These Terms, the applicable purchase details, and any separate written agreement that applies to your purchase constitute the agreement between you and Helios Digital concerning the Services.
